50-73.140. Effect of failure of foreign registered limited liabilitypartnership to register.

The failure of a foreign registered limited liability partnership to file astatement of registration or to maintain that registration or to appoint andmaintain a registered agent in this Commonwealth as required in 50-73.135shall not impair the validity of any contract or act of the foreignregistered limited liability partnership and shall neither prevent theforeign registered limited liability partnership from defending any action orproceeding in any court of this Commonwealth nor affect the application ofthe laws of the jurisdiction governing the agreement under which it wasformed as provided in subsection E of 50-73.141, but the foreign registeredlimited liability partnership may not maintain any action or proceeding inany court of this Commonwealth until it has filed an application forregistration. A foreign registered limited liability partnership, bytransacting business in this Commonwealth without registration, appoints theclerk of the Commission as its agent for service of process with respect tocauses of action arising out of the transaction of business in thisCommonwealth. Service on that foreign registered limited liabilitypartnership shall be made on the clerk of the Commission in accordance with 12.1-19.1.
