2006 Code of Virginia § 13.1-894 - Merger

13.1-894. Merger.

A. One or more corporations may merge into another corporation if thearticles of incorporation of each of them could lawfully contain all thecorporate powers and purposes of all of them. The board of directors of eachcorporation shall adopt and its members, if required by 13.1-896, shallapprove a plan of merger.

B. The plan of merger shall set forth:

1. The name of each corporation planning to merge, and the name of thesurviving corporation into which each other corporation plans to merge; and

2. The terms and conditions of the merger.

C. The plan of merger may set forth:

1. Amendments to, or a restatement of, the articles of incorporation of thesurviving corporation; and

2. Other provisions relating to the merger.
