13.1-812. Unlawful to transact or offer to transact business as corporationunless authorized.

It shall be unlawful for any person, firm or association to transact businessin this Commonwealth as a corporation or to offer or advertise to transactbusiness in this Commonwealth as a corporation unless the alleged corporationis either a Virginia corporation or a foreign corporation authorized totransact business in Virginia. Any person who, individually or as a member ofa firm or association, violates this section shall be guilty of a Class 1misdemeanor.
