13.1-668. Change in quorum or voting requirements.

A. The articles of incorporation may provide for (i) a lesser or greaterquorum requirement for shareholders, but not less than one-third of theshares eligible to vote, or voting groups of shareholders, or (ii) a greatervoting requirement for shareholders, or voting groups of shareholders, thanis provided by this chapter.

B. An amendment to the articles of incorporation that adds, changes, ordeletes a quorum or voting requirement shall meet the quorum requirement andbe adopted by the vote and voting groups required to take action under thequorum and voting requirements then in effect.
