4.1-416. Waiver prohibited; conflicts of laws.

A. No winery shall require any wholesaler to waive compliance with anyprovision of this chapter. Any contract or agreement purporting to do so isvoid and unenforceable to the extent of the waiver or variance. Nothing inthis chapter shall limit or prohibit good faith settlements of disputesvoluntarily entered into between the parties.

B. Any contract between a winery and a wine wholesaler pursuant to which thewholesaler is to market the winery's products in the Commonwealth shall begoverned by the laws of the Commonwealth as the place of performance,notwithstanding the fact that such contract may have been made in anotherstate or the fact that such contract may provide that it is to be governed bythe laws of another state.
