2.2-2457. Information Technology Investment Board; membership; terms;quorum; compensation; staff.
A. The Information Technology Investment Board (the Board) is established asa supervisory board, within the meaning of 2.2-2100, in the executivebranch of state government. The Board shall be responsible for the planning,budgeting, acquiring, using, disposing, managing, and administering ofinformation technology in the Commonwealth.
B. The Board shall consist of 10 members that include eight nonlegislativecitizen members and two ex officio members as follows: (i) fournonlegislative citizen members appointed by the Governor, of whom one shallbe appointed from a list of not less than seven individuals nominated jointlyby the Chairs of the Senate Committee on General Laws and the House Committeeon Science and Technology in consultation with their respective committeememberships; (ii) four nonlegislative citizen members appointed by the JointRules Committee from a list recommended by the Joint Commission on Technologyand Science; (iii) the Secretary of Technology who shall serve ex officiowith full voting privileges; and (iv) the Auditor of Public Accounts shallserve ex officio without voting privileges. The individuals jointly nominatedby the Chairs of the Senate Committee on General Laws and the House Committeeon Science and Technology shall, at a minimum, have experience as seniorinformation technology management personnel for a company with annual grossrevenues in excess of $50 million. The other nonlegislative citizen membersshall have experience in information technology systems or other technologysystems including but not limited to human resources, environment,transportation, or finance.
The ex officio members of the Board shall serve terms coincident with theirrespective terms of office. After the initial staggering of terms,nonlegislative citizen members shall be appointed for terms of four years.Appointments to fill vacancies, other than by expiration of a term, shall befor the unexpired terms. All members may be reappointed. However, nononlegislative citizen member shall serve more than two consecutive four-yearterms. The remainder of any term to which a member is appointed to fill avacancy shall not constitute a term in determining the member's eligibilityfor reappointment. Vacancies shall be filled in the same manner as theoriginal appointments.
C. The Board shall elect its chairman and vice-chairman from among itsmembers for two-year terms. A majority of the members shall constitute aquorum. The Board shall meet at least quarterly each year. The meetings ofthe Board shall be held at the call of the chairman or whenever the majorityof the members so request.
D. Nonlegislative citizen members shall receive compensation and shall bereimbursed for all reasonable and necessary expenses incurred in theperformance of their duties, as provided in 2.2-2813 and 2.2-2825. Fundingfor the costs of compensation and expenses of the members shall be providedby the Virginia Information Technologies Agency.
E. The disclosure requirements of subsection B of 2.2-3114 of the State andLocal Government Conflict of Interest Act shall apply to citizen members ofthe Board.
F. The Virginia Information Technologies Agency shall serve as staff to theBoard.
