275.115 Registered office -- Registered agent. (Effective until January 1, 2011)
(1) Each domestic limited liability company and each foreign limited liability company
authorized to transact business in the Commonwealth pursuant to KRS 275.380 to <br>275.450 shall continuously maintain in this Commonwealth: <br>(a) A registered office that may be the same as any of its places of business; and <br>(b) A registered agent who shall be either:
1.
An individual who is a resident of this Commonwealth and whose <br>business office is identical with the registered office;
2.
A domestic corporation, domestic limited liability company, or not-for-<br>profit domestic corporation whose business office is identical with the <br>registered office; or
3.
A foreign corporation, foreign limited liability company, or not-for-<br>profit foreign corporation authorized to transact business in this <br>Commonwealth whose business office is identical with the registered <br>office.
(2) Unless the registered agent signs the document making the appointment, the
appointment of a registered agent or a successor registered agent on whom process <br>may be served shall not be effective until the agent delivers a statement in writing to <br>the Secretary of State accepting the appointment.
