(Repealed, effective January 1, 2011) (1) Anyone may apply to the Secretary of State to furnish a certificate of existence for a domestic limited liability company or a certificate of authorization for a foreign <br>limited liability company. (2) A certificate of existence or a certificate of authorization shall set forth: (a) The domestic limited liability company's name or the foreign limited liability company's name used in this Commonwealth; (b) That the domestic limited liability company is duly organized under the law of this Commonwealth, and the date of its organization, or that the foreign <br>limited liability company is authorized to transact business in this <br>Commonwealth; (c) That all fees and penalties owed to the Secretary of State have been paid, if: 1. Payment is reflected in the records of the Secretary of State; and 2. Nonpayment affects the existence or authorization of the domestic or <br>foreign limited liability company; (d) That articles of dissolution have not been filed; <br>(e) That most recent annual report required by KRS 275.190 has been delivered to the Secretary of State; and (f) Other facts of record in the office of the Secretary of State that may be requested by the applicant. (3) Subject to any qualifications stated in the certificate itself, the certificate of existence or authorization issued by the Secretary of State may be relied upon as <br>conclusive evidence that the domestic or foreign limited liability company is in <br>existence or authorized to transact business in this Commonwealth.
