In July 2007 McKinney and h e r husband refinanced the o r i g i n a l $322,700 l o a n t h a t was u s e d t o p u r c h a s e U n i t 903 a n d obtained a new loan i n t h e amount o f $700,000. Bank o f A m e r i c a was t h e l e n d e r , a n d i t h e l d a m o r t g a g e on U n i t 903 t o secure the loan. The m o r t g a g e document, w h i c h i s r e f e r r e d t o as t h e " S e c u r i t y I n s t r u m e n t " i n t h a t document ("the s e c u r i t y instrument"), defined theproperty with a l e g a l d e s c r i p t i o n of U n i t 903, w h i c h l e g a l d e s c r i p t i o n was a t t a c h e d t o t h e s e c u r i t y instrument. "Together The l e g a l with description included the appropriate common a r e a s a n d f a c i l i t i e s be undivided the statement: interest i n the declared i n [the declaration] to a p p u r t e n a n t t o t h e above d e s c r i b e d unit." The amendment was recorded i n the C o u n t y P r o b a t e C o u r t t h e same d a y i t was e x e c u t e d . K i n s l o w a n d Bank o f A m e r i c a e a c h f i l e d p r o p e r l y m o t i o n s f o r a summary j u d g m e n t . f a c t s ; the issues presented supported T h e r e i s no d i s p u t e o v e r t h e a r e c l e a r l y i s s u e s o f law. App. quoting i t s c o n c l u s i o n , the t r i a l Gulf 2005), Land Corp., 941 So. court c i t e d 2d 982, 985-86 ( A l a . f o r i t s d e f i n i t i o n o f an a p p u r t e n a n t the f o l l o w i n g from t h a t Miller right, case: " I n o r d e r f o r a c o v e n a n t t o be e n f o r c e d as one t h a t 'runs w i t h t h e l a n d , ' i t must b o t h ( 1 ) have been i n t e n d e d by t h e p a r t i e s c r e a t i n g i t t o run w i t h t h e l a n d and (2) t o u c h and c o n c e r n t h e l a n d . See, e.g., A l l e n v. A x f o r d , 285 A l a . 251, 231 So. 2d 122 ( 1 9 7 0 ) ; S m i t h v. F i r s t Sav. o f L o u i s i a n a , FSA, 575 So. 2d 1033 ( A l a . 1 9 9 1 ) ; P a t t e r s o n v. A t l a n t i c C o a s t L i n e R. Co., 202 A l a . 583, 589, 81 So. 85, 91 (1919) (noting t h a t , i n keeping with the seminal E n g l i s h c a s e known as ' S p e n c e r ' s c a s e ' (5 Coke, 1 6 ) , 'a c o v e n a n t w i l l n o t r u n w i t h t h e l a n d i f i t be m e r e l y c o l l a t e r a l , and d o t h n o t t o u c h o r c o n c e r n t h e t h i n g demised'). I n d i s c u s s i n g t h e s e r e q u i r e m e n t s , we find i t convenient to utilize the following d e f i n i t i o n s s t a t e d i n the Restatement (Third) of P r o p e r t y ( S e r v i t u d e s ) § 1.5 ( 2 0 0 4 ) : " ' ( 1 ) " A p p u r t e n a n t " means t h a t the r i g h t s or o b l i g a t i o n s of a s e r v i t u d e are tied to ownership or occupancy of a p a r t i c u l a r u n i t or p a r c e l of land. The right t o e n j o y m e n t o f an easement or p r o f i t , or to r e c e i v e the performance of a c o v e n a n t t h a t can be h e l d o n l y by t h e owner or o c c u p i e r of a p a r t i c u l a r u n i t or p a r c e l , i s an a p p u r t e n a n t b e n e f i t . A burden t h a t 7 2110632 obligates t h e owner o r o c c u p i e r of a p a r t i c u l a r u n i t or p a r c e l i n that person's capacity as owner or occupier i s an appurtenant burden. " ' ( 2) " I n g r o s s " me a n s t h a t t h e b e n e f i t or burden o f a s e r v i t u d e i s not tied t o ownership or occupancy of a p a r t i c u l a r u n i t or p a r c e l of land. "'(3) "Personal" means that a servitude benefit or burden i s not t r a n s f e r a b l e and does n o t r u n w i t h l a n d . Whether appurtenant or i n gross, a servitude benefit or burden may be personal.' "Turning f i r s t to the requirement that the c o v e n a n t have b e e n i n t e n d e d b y t h e p a r t i e s c r e a t i n g i t t o r u n w i t h t h e l a n d , we o b s e r v e t h a t t h e d e e d f r o m AGLC t o G i l b r e a t h e x p r e s s l y a d d r e s s e s this i s s u e . F i r s t , as t o t h e b u r d e n o f t h e c o v e n a n t , t h e d e e d r e s t r i c t s t h e u s e o f what i s now t h e M i l l e r p r o p e r t y 'by t h e G r a n t e e s , t h e i r h e i r s a n d a s s i g n s . ' F u r t h e r , i t s p e c i f i c a l l y p r o v i d e s t h a t the burdened property ('the s e r v i e n t e s t a t e ' ) shall ' n e v e r be u s e d f o r a t r a i l e r p a r k o r any o t h e r commercial p u r p o s e . ' (Emphasis added.) Even p l a i n e r a n d more t o t h e p o i n t , t h e deed e x p r e s s l y s t a t e s t h a t 'the burden of t h i s r e s t r i c t i v e covenant s h a l l run w i t h s a i d l a n d s and s h a l l be b i n d i n g on t h e g r a n t e e s , t h e i r h e i r s a n d a s s i g n s . ' (Emphasis a d d e d . ) " (Footnote omitted.) The persons e x e c u t i n g t h e amendment s h a l l p r o v i d e i t t o t h e a s s o c i a t i o n , which s h a l l r e c o r d i t and t h e c o s t shall be b o r n e by t h e persons executing the amendment. The amendment s h a l l be r e c o r d e d a n d indexed i n t h e names o f t h e p a r t i e s and t h e condominium.
