50-73.53. Law governing.

Subject to the Constitution of this Commonwealth, (i) the laws of the stateor other jurisdiction under which a foreign limited partnership is formedgovern its formation and internal affairs and the liability of its limitedpartners, and (ii) a foreign limited partnership may not be deniedregistration by reason of any difference between those laws and the laws ofthis Commonwealth. However, a foreign limited partnership holding a validregistration in this Commonwealth shall have no greater rights and privilegesthan a domestic limited partnership. The registration shall not be deemed toauthorize the foreign limited partnership to exercise any of its powers orpurposes that a domestic limited partnership is forbidden by law to exercisein this Commonwealth.
