§ 62. Number of directors

  • (a) The number of directors that constitutes the whole of board is the number fixed from time to time by, or in the manner provided in the articles of incorporation, or pursuant to authority given in the articles of incorporation, or in the bylaws; but except as provided in subsection (b), the number of directors may not be less than three.

  • (b) In the case of a corporation that has fewer than three shareholders, the number of directors may be equal to the number of shareholders.
