§ 3135 Amended certificate of authority


11 V.S.A. § 3135 What's This?

3135. Amended certificate of authority

(a) A foreign limited liability company authorized to transact business in this state must obtain an amended certificate of authority from the secretary of state if it:

(1) changes its name;

(2) changes the state or country under whose law it is organized;

(3) becomes or ceases to be a term limited liability company;

(4) becomes or ceases to be manager-managed; or

(5) the members of the company become or ceases to be liable for its debts and obligations under a provision similar to subsection 3043(b) of this title.

(b) The requirements of section 3134 of this title for obtaining an original certificate of authority apply to obtaining an amended certificate under this section. (Added 1995, No. 179 (Adj. Sess.), 4.)
