INTERPRETATION AND ENFORCEMENT OF THE
CERTIFICATE OF INCORPORATION AND BYLAWS
Any shareholder, member or director may bring an action to interpret, apply or enforce the provisions of the certificate of incorporation or the bylaws of a domestic corporation in the district court.
