450.3145 Amendments; affirmative vote of majority.

Sec. 1145.

Notwithstanding section 611(4), 703(2), 753(4), or 804(4), unless the articles of incorporation provide for a higher vote for passage, amendment of the articles of incorporation, amendment of the bylaws which alters member voting rights or member capital, merger, consolidation, disposition of all or substantially all of the assets of the corporation, or dissolution shall be adopted by the affirmative vote of a majority of the votes cast by members eligible to vote thereon, and if a class is eligible to vote thereon as a class, the affirmative vote of a majority of the votes cast by members of each class. Such action may only be taken at a meeting called according to the notice provisions of section 404.
