§711. Laws governing foreign limited liability companies

1. Laws governing. Unless otherwise provided by the Constitution of Maine:

A. The laws of the state or country under which a foreign limited liability company is organized govern its organization and internal affairs and the liability of its members; and [1993, c. 718, Pt. A, §1 (NEW).]

B. A foreign limited liability company may not be denied the authority to do business by reason of a difference between the laws referred to in this subsection and the laws of this State. [1993, c. 718, Pt. A, §1 (NEW).]

2. Type of business. A foreign limited liability company may transact any business in this State that may be transacted by a domestic limited liability company.
