2005 Idaho Code - 53-662 — APPROVAL OF MERGER OR CONSOLIDATION

                     IDAHO LIMITED LIABILITY COMPANY ACT
    53-662.  APPROVAL OF MERGER OR CONSOLIDATION. (1) Unless otherwise
provided in writing in an operating agreement, a limited liability company
that is a party to a proposed merger or consolidation shall approve the merger
or consolidation agreement by the consent of more than one-half (1/2) by
number of the members.
    (2)  Each corporation and foreign limited liability company that is a
party to a proposed merger or consolidation shall approve the merger or
consolidation in the manner and by the vote required by the laws applicable to
such business entity.
    (3)  Each business entity that is a party to the merger or consolidation
shall have such rights to abandon the merger as are provided for in the merger
or consolidation agreement or in the laws applicable to the business entity.
