§ 14-2-840. Officers
- A corporation has the officers described in its bylaws or appointed by the board of directors in accordance with the bylaws.
- The board of directors may elect individuals to fill one or more offices of the corporation. A duly appointed officer may appoint one or more officers if authorized by the bylaws or the board of directors.
- The bylaws or the board of directors shall assign to one of the officers responsibility for preparing the minutes of the directors' and shareholders' meetings and for maintaining and authenticating records of the corporation required to be kept under subsections (a) of Code Sections 14-2-1601 and 14-2-1602.
- The same individual may simultaneously hold more than one office in a corporation.

The 2016 amendment, effective July 1, 2016, in subsection (b), added the first sentence and deleted "or assistant officers" following "more officers" in the second sentence; in subsection (c), substituted "shall assign" for "shall delegate" near the beginning, inserted "the" following "preparing", inserted "maintaining and" in the middle, and added "required to be kept under subsections (a) of Code Sections 14-2-1601 and 14-2-1602" at the end.
