4 consented to the Court’s jurisdiction over Defendant and the subject matter of this 5 action; consented to entry of this Final Judgment without admitting or denying the 6 allegations of the Complaint (except as to jurisdiction and except as otherwise 7 provided herein); waived findings of fact and conclusions of law; and waived any 8 right to appeal from this Final Judgment: I. 9 10 IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that Defendant is 11 permanently restrained and enjoined from violating, directly or indirectly, Section 12 10(b) of the Securities Exchange Act of 1934 (the “Exchange Act”) [15 U.S.C. § 13 78j(b)] and Rule 10b-5 promulgated thereunder [17 C.F.R. § 240.10b-5], by using 14 any means or instrumentality of interstate commerce, or of the mails, or of any 15 facility of any national securities exchange, in connection with the purchase or sale of 16 any security: 17 (a) to employ any device, scheme, or artifice to defraud; 18 (b) to make any untrue statement of a material fact or to omit to state a 19 material fact necessary in order to make the statements made, in the light of the 20 circumstances under which they were made, not misleading; or 21 (c) 22 would operate as a fraud or deceit upon any person. 23 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, as 24 provided in Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also 25 binds the following who receive actual notice of this Final Judgment by personal 26 service or otherwise: 27 attorneys; 2 1 (b) Unless a registration statement is in effect as to a security, carrying or 2 causing to be carried through the mails or in interstate commerce, by any 3 means or instruments of transportation, any such security for the purpose 4 of sale or for delivery after sale; or 5 (c) Making use of any means or instruments of transportation or 6 communication in interstate commerce or of the mails to offer to sell or 7 offer to buy through the use or medium of any prospectus or otherwise 8 any security, unless a registration statement has been filed with the 9 Commission as to such security, or while the registration statement is the 10 subject of a refusal order or stop order or (prior to the effective date of 11 the registration statement) any public proceeding or examination under 12 Section 8 of the Securities Act [15 U.S.C. § 77h]. 13 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, as 14 provided in Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also 15 binds the following who receive actual notice of this Final Judgment by personal 16 service or otherwise: 17 attorneys; Defendant shall satisfy this obligation by 25 paying $388,322.34 after entry of this Final Judgment. 26 Defendant may transmit payment electronically to the Commission, which will 27 provide detailed ACH transfer/Fedwire instructions upon request. Payment may also 28 be made directly from a bank account via Pay.gov through the SEC website at 3 1 http://www.sec.gov/about/offices/ofm.htm. 2 check, bank cashier’s check, or United States postal money order payable to the 3 Securities and Exchange Commission, which shall be delivered or mailed to 4 Enterprise Services Center 5 Accounts Receivable Branch 6 6500 South MacArthur Boulevard 7 Defendant may also pay by certified Oklahoma City, OK 73169 8 and shall be accompanied by a letter identifying the case title, civil action number, 9 and name of this Court; JustInfo as a defendant in this action; and specifying that 10 payment is made pursuant to this Final Judgment. 11 Defendant shall simultaneously transmit photocopies of evidence of payment 12 and case identifying information to the Commission’s counsel in this action. By 13 making this payment, Defendant relinquishes all legal and equitable right, title, and 14 interest in such funds and no part of the funds shall be returned to Defendant. 15 The Commission shall hold the funds (collectively, the “Fund”) and may 16 propose a plan to distribute the Fund subject to the Court’s approval. The Court shall 17 retain jurisdiction over the administration of any distribution of the Fund. If the 18 Commission staff determines that the Fund will not be distributed, the Commission 19 shall send the funds paid pursuant to this Final Judgment to the United States 20 Treasury. 21 The Commission may enforce the Court’s judgment for disgorgement and 22 prejudgment interest by moving for civil contempt (and/or through other collection 23 procedures authorized by law) at any time after 14 days following entry of this Final 24 Judgment. Defendant shall pay post judgment interest on any delinquent amounts 25 pursuant to 28 U.S.C. § 1961. 26 V. 27 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant 28 shall pay a civil penalty in the amount of $905,353 to the Securities and Exchange 4 1 Commission pursuant to Section 20(d) of the Securities Act [15 U.S.C. § 77t(d)] and 2 Section 21(d)(3) of the Exchange Act [15 U.S.C. § 78u(d)(3)]. Defendant shall 3 satisfy this obligation by paying $905,353 make this payment pursuant to the terms of 4 the payment schedule set forth in paragraph VI below after entry of this Final 5 Judgment. 6 Defendant may transmit payment electronically to the Commission, which will 7 provide detailed ACH transfer/Fedwire instructions upon request. Payment may also 8 be made directly from a bank account via Pay.gov through the SEC website at 9 http://www.sec.gov/about/offices/ofm.htm.
