MEMORANDUM*
The judgment of the district court is affirmed for the reasons given in the court's Memorandum Opinion of July 9, 1990. The parties did not enter into a valid, binding contract, but were continuing to negotiate. The application of Washington and Montana law was correct.
AFFIRMED.
