  § 1004. Certificate of dissolution; filing; effect.
    The  department  of  state shall not file a certificate of dissolution
  unless the consent of the state tax commission  to  the  dissolution  is
  attached  thereto.    Upon  filing  the  certificate, the corporation is
  dissolved.
