                             POWERS AND DUTIES OF
                              BOARD OF DIRECTORS
    43-301.  ELECTION OF OFFICERS. On the first Tuesday of January next
following their election, the board of directors shall meet and organize as a
board, elect a president from their number and appoint a secretary and
treasurer, who shall each hold office during the pleasure of the board. At any
regular or special meeting the board of directors may appoint an assistant
secretary or an assistant treasurer, or both, and fix the duties, the length
of term, and the amount of bond, of each of them.
