                            COUNTY MUTUAL INSURERS
    41-3117.  AMENDMENT OF ARTICLES OF INCORPORATION. (1) The articles of
incorporation of such an insurer may be amended in any lawful respect by
approval by its board of directors by affirmative vote of at least two-thirds
(2/3) of all its directors and by adoption thereafter by affirmative vote of
not less than two-thirds (2/3) of the insurer's members present or represented
by proxy at any meeting of members, at which a quorum as required by the
insurer's constitution or by-laws was present, and if the notice of such
meeting contained notice of the proposed amendment.
    (2)  An amendment so adopted shall be filed in accordance with the
applicable provisions of section 41-2827(2); except that the fee for the
filing of the amendment with the director shall be as provided in section
41-3118, Idaho Code. The filing fee shall not be subject to refund.
