13.1-607. Correcting filed articles.
A. The board of directors of a domestic or foreign corporation may authorizecorrection of any articles filed with the Commission if (i) the articlescontain an inaccuracy; (ii) the articles were defectively executed, attested,sealed, verified, or acknowledged; or (iii) the electronic transmission ofthe articles was defective.
B. Articles are corrected:
1. By preparing articles of correction that:
a. Describe the articles to be corrected, including their effective date; and
b. Correct the inaccuracy or defect; and
2. By filing the articles of correction with the Commission.
C. Upon the issuance of a certificate of correction by the Commission, thearticles of correction shall become effective as of the effective date of thearticles they correct except as to persons relying on the uncorrectedarticles and adversely affected by the correction. As to those persons,articles of correction are effective upon the issuance of the certificate ofcorrection.
D. No articles of correction shall be accepted by the Commission whenreceived more than 30 days after the effective date of the certificaterelating to the articles to be corrected.
