8908 - Election of professional association to become limited liability company.
§ 8908. Election of professional association to become limited liability company. (a) General rule.--This chapter applies to every professional association subject to Chapter 93 (relating to professional associations) that elects to accept the provisions of this chapter in the manner set forth in subsection (b). (b) Procedure for election.--A professional association may elect to accept this chapter by filing in the Department of State a certificate of election of limited liability company status which shall be executed by all of the associates of the professional association and shall set forth: (1) The name of the professional association. (2) The name of the county in the office of the prothonotary of which the initial articles of association of the association were filed. (3) A statement that the associates of the professional association have elected to accept the provisions of this chapter for the government and regulation of the affairs of the association. (4) The provisions that shall constitute the initial certificate of organization of the limited liability company resulting from the filing, which may include such amendments to the articles of association of the professional association as the associates may choose to adopt. (c) Date of organization.--This chapter shall become applicable to the professional association, and it shall be deemed organized as a limited liability company, on the date the certificate of election is filed in the department.
