Chapter 25 - Registered Corporations
2502 - Registered corporation status.

     § 2502.  Registered corporation status.
        Subject to additional definitions contained in subsequent
     provisions of this chapter which are applicable to specific
     subchapters of this chapter, as used in this chapter, the term
     "registered corporation" shall mean:
            (1)  A domestic business corporation:
                (i)  that:
                    (A)  has a class or series of shares entitled to
                vote generally in the election of directors of the
                corporation registered under the Exchange Act; or
                    (B)  is registered as a management company under
                the Investment Company Act of 1940 and in the
                ordinary course of business does not redeem
                outstanding shares at the option of a shareholder at
                the net asset value or at another agreed method or
                amount of value thereof; or
                (ii)  that is:
                    (A)  subject to the reporting obligations imposed
                by section 15(d) of the Exchange Act by reason of
                having filed a registration statement which has
                become effective under the Securities Act of 1933
                relating to shares of a class or series of its equity
                securities entitled to vote generally in the election
                of directors; or
                    (B)  registered as a management company under the
                Investment Company Act of 1940 and in the ordinary
                course of business redeems outstanding shares at the
                option of a shareholder at the net asset value or at
                another agreed method or amount of value thereof.
        A corporation which satisfies both subparagraphs (i) and (ii)
        shall be deemed to be described solely in subparagraph (i)
        for the purposes of this chapter.
            (2)  A domestic business corporation all of the shares of
        which are owned, directly or indirectly, by one or more
        registered corporations or foreign corporations for profit
        described in section 4102(b) (relating to registered
        corporation exclusions).
