1923 - Notice of meeting of shareholders.

     § 1923.  Notice of meeting of shareholders.
        (a)  General rule.--Written notice of the meeting of
     shareholders that will act on the proposed plan shall be given
     to each shareholder of record, whether or not entitled to vote
     thereon, of each domestic business corporation that is a party
     to the merger or consolidation. There shall be included in, or
     enclosed with, the notice a copy of the proposed plan or a
     summary thereof and, if Subchapter D of Chapter 15 (relating to
     dissenters rights) is applicable to the holders of shares of any
     class or series, a copy of that subchapter and of section 1930
     (relating to dissenters rights) shall be furnished to the
     holders of shares of that class or series. If the surviving or
     new corporation will be a nonregistered corporation, the notice
     shall state that a copy of its bylaws as they will be in effect
     immediately following the merger or consolidation will be
     furnished to any shareholder on request and without cost.
