317A.403 MEMBERSHIP CERTIFICATES.
A corporation may issue certificates showing membership in the corporation. In lieu of a
membership certificate, a corporation may issue preferred or common stock. Stock may be issued
upon the terms and conditions that the board considers appropriate.
