Section 302A.311 OTHER OFFICERS.

302A.311 OTHER OFFICERS.
The board may elect or appoint, in a manner set forth in the articles or bylaws or in a
resolution approved by the affirmative vote of a majority of the directors present, any other
officers or agents the board deems necessary for the operation and management of the corporation,
each of whom shall have the powers, rights, duties, responsibilities, and terms in office provided
for in the articles or bylaws or determined by the board.
