275.395 Application for certificate of authority for foreign limited liability company. (Repealed, effective January 1, 2011)

(Repealed, effective January 1, 2011) (1) A foreign limited liability company may apply for a certificate of authority to transact business in this Commonwealth by delivering an application to the <br>Secretary of State for filing. The application shall set forth: <br>(a) The name of the foreign limited liability company, or if its name is unavailable for use in this Commonwealth, a company name that satisfies the <br>requirements of KRS 275.410; (b) The name of the state or country under whose law it is organized; <br>(c) Its date of organization and, if the limited liability company has a specific date of dissolution, the latest date upon which it is to dissolve; (d) The street address of the office required to be maintained in the state or other jurisdiction of its formation by the laws of that state or jurisdiction or, if not <br>so required, of the principal office of the foreign limited liability company; (e) The address of its registered office in this Commonwealth and the name of its registered agent at that office; (f) The names and usual business addresses of its current managers, if any; and <br>(g) A statement that, as of the date of filing, the foreign limited liability company validly exists as a limited liability company under the laws of the jurisdiction <br>of its organization. (2) A written statement of the initial registered agent consenting to serve in that capacity shall accompany an application for the certificate of authority. Acts ch. 51, sec. 183, provides, &quot;The specific textual provisions of Sections 1 to 178 of this Act which <br>reflect amendments made to those sections by 2007 Ky. Acts ch. 137 shall be deemed <br>effective as of June 26, 2007, and those provisions are hereby made expressly <br>retroactive to that date, with the remainder of the text of those sections being <br>unaffected by the provisions of this section.&quot; Legislative Research Commission Note (1/1/2011). 2010 Ky. Acts ch. 151, sec. 151, has repealed this statute effective January 1, 2011.
