275.110 Registration of name of foreign limited liability company. (Repealed,
effective January 1, 2011)
(1) A foreign limited liability company may register its name, or its name with any
addition required by KRS 275.410(1)(a), if the name is distinguishable upon the <br>records of the Secretary of State as required under KRS 275.100.
(2) A foreign limited liability company shall register its name, or its name with any
addition required by KRS 275.410(1)(a), by delivering to the Secretary of State for <br>filing an application setting forth: <br>(a) Its name, or its name with any addition required by KRS 275.410(1)(a); <br>(b) The state or country and date of its organization; <br>(c) A brief description of the nature of the business in which it is engaged; and <br>(d) A statement that the foreign limited liability company validly exists as a
limited liability company under the laws of the jurisdiction of its formation.
(3) The name shall be registered for the applicant's exclusive use upon the effective
date of the application.
(4) A foreign limited liability company whose registration is effective may renew it for
successive years by delivering to the Secretary of State for filing a renewal <br>application between October 1 and December 31 of the preceding year. The renewal <br>application shall comply with the requirements of subsection (2) of this section and <br>when filed shall renew the registration for the following calendar year.
(5) A foreign limited liability company whose registration is effective may thereafter
qualify as a foreign limited liability company under the registered name or consent <br>in writing to the use of that name by a limited liability company thereafter organized <br>under this chapter or by another foreign limited liability company thereafter <br>authorized to transact business in this Commonwealth. The registration shall <br>terminate when the domestic limited liability company is organized or the foreign <br>limited liability company qualifies or consents to the qualification of another <br>foreign limited liability company under the registered name.
