362.585 Registration of foreign limited liability partnership -- Effect of withdrawal -- Injunctive action by Attorney General. (Effective until January 1, 2008) (1) Before transacting business in this Commonwealth, a foreign limited liability partnership shall register with the Secretary of State. In order to register and maintain registration, a foreign limited liability partnership shall submit a statement and renew the statement in the same manner as is required under KRS 362.555 in the case of a domestic registered limited liability partnership. The registration shall be governed by KRS 362.555 as if the foreign limited liability partnership were a domestic registered limited liability partnership. (2) A foreign limited liability partnership may register with the Secretary of State under any name, whether or not it is the name under which it is registered in its state of organization, that includes the words "Registered Limited Liability Partnership" or its abbreviation "LLP" and that could be used by a domestic registered limited liability partnership in accordance with KRS 362.565. (3) The voluntary withdrawal of a statement pursuant to KRS 362.555(5) shall not terminate the authority of the Secretary of State to accept service of process on the foreign registered limited liability partnership with respect to causes of action arising out of the transaction of business in this Commonwealth. (4) The Attorney General may bring an action to enjoin a foreign limited liability partnership from transacting business in this Commonwealth if any requirements of KRS 362.555 have not been met.
