                       IDAHO NONPROFIT CORPORATION ACT
    30-3-73.  COMPENSATION OF DIRECTORS. Unless the articles or bylaws provide
otherwise, a board of directors may fix the compensation, fees, insurance or
benefits, if any, of directors.
