Sec. 33-738. Election of directors by certain classes of shareholders.
Sec. 33-738. Election of directors by certain classes of shareholders. If the certificate of incorporation authorizes dividing the shares into classes, the certificate may
also authorize the election of all or a specified number of directors by the holders of
one or more authorized classes of shares. A class, or classes, of shares entitled to elect
one or more directors is a separate voting group for purposes of the election of directors.(P.A. 94-186, S. 86, 215; P.A. 96-271, S. 64, 254.)
History: P.A. 94-186 effective January 1, 1997; P.A. 96-271 replaced "articles" of incorporation with "certificate" of incorporation, effective January 1, 1997.
