Court Description: MEMORANDUM OPINION AND ORDER that Defendants' Motion to Dismiss (Dkt. 9) is GRANTED-IN-PART and DENIED-IN-PART; and it is FURTHER ORDERED that Plaintiff's fraud claims (Counts 1 and 2) are DISMISSED WITH PREJUDICE; and it is FURTHER ORDERED that Plaintiff's claims for punitive damages and attorneys' fees are DISMISSED WITH PREJUDICE; and it is FURTHER ORDERED that Plaintiff's unjust enrichment claim (Count 4) is DISMISSED WITHOUT PREJUDICE; and it is FURTHER ORDERED that Plaintiff is DIRECTED to file a second amended complaint within FOURTEEN DAYS to indicate that his claim for unjust enrichment (Count 4) is alleged in the alternative to his breach of contract claims and, if Plaintiff may do so in good faith, to allege facts supporting that Defendant Tang retained a benefit from Plaintiff (see Order for further details).
