The accountings shall include a description of the source(s) of all such a ssets. Such accountings shall be filed with the Court and copies shall be delivered to the Commissions Los Angeles Regional Office. After completion of the accounting, Defendants and Relief Defendants shall produce to the Commission's Los Angeles Regional Office, at a time agreeable to the Commission, all books, records and other documents supporting or underlying the accountings. Bowen; Eagle Development 11 Enterprises, Inc. (“Eagle Development”); and Eagle Aviation Sales & Leasing, 12 LLC (“Eagle Aviation”) (collectively “Defendants”) and relief defendants Eagle 13 Assets & Management, LLC; Eagle Housing & Development AZ, LLC; Eagle 14 Housing & Development, Inc.; and Eagle Helicopters & Aviation, Inc. 15 (collectively “Relief Defendants”) consented to this order, without admitting or 16 denying the allegations in the Commission’s Complaint, IT IS HEREBY 17 ORDERED, for good cause shown, as follows: 18 19 I. IT IS ORDERED that the Commission’s request for a preliminary injunction 20 and orders: (1) freezing assets; (2) requiring accountings; and (3) prohibiting the 21 destruction of documents is hereby GRANTED. 22 II. 23 IT IS FURTHER ORDERED that Defendants Bowen, Eagle Development, 24 Eagle Aviation, and their agents, servants, employees, attorneys, subsidiaries and 25 affiliates, and those persons in active concert or participation with any of them, 26 who receive actual notice of this Order, by personal service or otherwise, and each 27 of them, be and hereby are preliminarily restrained and enjoined from, directly or 28 indirectly, making use of any means or instruments of transportation or 2 1 communication in interstate commerce or of the mails, to sell, to offer to sell, or to 2 offer to buy any security, or carrying or causing securities to be carried through the 3 mails or in interstate commerce, by any means or instruments of transportation, for 4 the purpose of sale or delivery after sale, in violation of Sections 5(a) and 5(c) of 5 the Securities Act, 15 U.S.C. §§ 77(e)(a) and 77(e)(c). III. 6 7 IT IS FURTHER ORDERED that Defendants Bowen, Eagle Development, 8 Eagle Aviation, and their agents, servants, employees, attorneys, subsidiaries and 9 affiliates, and those persons in active concert or participation with any of them, 10 who receive actual notice of this Order, by personal service or otherwise, and each 11 of them, be and hereby are preliminarily restrained and enjoined from, directly or 12 indirectly, in the offer or sale of any securities, by the use of any means or 13 instruments of transportation or communication in interstate commerce or by use 14 of the mails: 15 A. employing any device, scheme or artifice to defraud; 16 B. obtaining money or property by means of any untrue statement of a 17 material fact or any omission to state a material fact necessary in order 18 to make the statements made, in light of the circumstances under 19 which they were made, not misleading; or 20 21 22 23 C. engaging in any transaction, practice, or course of business which operates or would operate as a fraud or deceit upon the purchaser in violation of Section 17(a) of the Securities Act, 15 U.S.C. § 77q(a).
