II. 27 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that 28 Defendant Maher and Defendant Maher’s agents, servants, employees, attorneys, 1 1 and all persons in active concert or participation with them who receive actual 2 notice of this Final Judgment by personal service or otherwise are permanently 3 restrained and enjoined from violating Section 17(a) of the Securities Act of 1933 4 (the “Securities Act”), 15 U.S.C. § 77q(a), in the offer or sale of any security by 5 the use of any means or instruments of transportation or communication in 6 interstate commerce or by use of the mails, directly or indirectly: 7 (a) to employ any device, scheme, or artifice to defraud; 8 (b) to obtain money or property by means of any untrue statement of a 9 material fact or any omission of a material fact necessary in order to 10 make the statements made, in light of the circumstances under which 11 they were made, not misleading; or 12 (c) to engage in any transaction, practice, or course of business which operates or would operate as a fraud or deceit upon the purchaser. 13 III. 14 15 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that 16 Defendant Maher and Defendant Maher’s agents, servants, employees, attorneys, 17 and all persons in active concert or participation with them who receive actual 18 notice of this Final Judgment by personal service or otherwise are permanently 19 restrained and enjoined from violating Sections 5(a) and (c) of the Securities Act, 20 15 U.S.C. §§ 77e(a) & 77e(c), by, directly or indirectly, in the absence of any 21 applicable exemption: 22 (a) Unless a registration statement is in effect as to a security, making use 23 of any means or instruments of transportation or communication in 24 interstate commerce or of the mails to sell such security through the 25 use or medium of any prospectus or otherwise; 26 (b) Unless a registration statement is in effect as to a security, carrying or 27 causing to be carried through the mails or in interstate commerce, by 28 any means or instruments of transportation, any such security for the 2 purpose of sale or for delivery after sale; or 1 2 (c) Making use of any means or instruments of transportation or 3 communication in interstate commerce or of the mails to offer to sell 4 or offer to buy through the use or medium of any prospectus or 5 otherwise any security, unless a registration statement has been filed 6 with the Commission as to such security, or while the registration 7 statement is the subject of a refusal order or stop order or (prior to the 8 effective date of the registration statement) any public proceeding or 9 examination under Section 8 of the Securities Act, 15 U.S.C. § 77h. IV. 10 11 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that 12 Defendant Maher and Defendant Maher’s agents, servants, employees, attorneys, 13 and all persons in active concert or participation with them who receive actual 14 notice of this Final Judgment by personal service or otherwise are permanently 15 restrained and enjoined from violating Section 15(a) of the Exchange Act, 15 16 U.S.C. § 78o(a), by, directly or indirectly, in the absence of any applicable 17 exemption, engaging in the business of a broker or a dealer by making use of the 18 mails or any means or instrumentality of interstate commerce to induce the 19 purchase or sale of any security (in the absence of an applicable exemption), 20 without being associated with a broker-dealer that has been registered with the 21 Commission. 22 23 V. IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that 24 Defendant Maher is liable for disgorgement of $34,000, representing profits gained 25 as a result of the conduct alleged in the Complaint, together with prejudgment 26 interest thereon in the amount of $220, for a total of $34,220. Defendant Maher 27 shall satisfy this obligation by making payments pursuant to the terms of the 28 payment schedule set forth in paragraph VI, below, by certified check, bank 3 1 cashier’s check, or United States postal money order payable to the Securities and 2 Exchange Commission. The payment shall be delivered or mailed to the Office of 3 Financial Management, Securities and Exchange Commission, Operations Center, 4 6432 General Green Way, Mail Stop 0-3, Alexandria, Virginia 22312, and shall be 5 accompanied by a letter identifying Eric Maher as a defendant in this action; 6 setting forth the title and civil action number of this action and the name of this 7 Court; and specifying that payment is made pursuant to this Final Judgment. 8 Defendant Maher shall pay post-judgment interest on any delinquent amounts 9 pursuant to 28 U.S.C. § 1961. The Commission shall remit the funds paid pursuant 10 to this paragraph to the United States Treasury. 11 VI. 12 Defendant Maher shall pay $34,220 in two installments according to the 13 following schedule: (1) $17,110 within 14 days of entry of this Final Judgment; 14 and (2) $17,110 within 180 days of entry of this Final Judgment. If Defendant 15 Maher fails to make any payment by the date agreed and/or in the amount agreed 16 according to the schedule set forth above, all outstanding payments under this Final 17 Judgment, including post-judgment interest, minus any payments made, shall 18 become due and payable immediately without further application to the Court. 19 VII. 20 Based on Defendant Maher’s sworn representations in his Statement of 21 Financial Condition dated January 1, 2011, and other documents and information 22 submitted to the Commission, the Court is not ordering Defendant Maher to pay a 23 civil penalty. The determination not to impose a civil penalty is contingent upon 24 the accuracy and completeness of the Defendant Maher’s Statement of Financial 25 Condition. If at any time following the entry of this Final Judgment the 26 Commission obtains information indicating that Defendant Maher’s 27 representations to the Commission concerning his assets, income, liabilities, or net 28 worth were fraudulent, misleading, inaccurate, or incomplete in any material 4 1 respect as of the time such representations were made, the Commission may, at its 2 sole discretion and without prior notice to Defendant Maher, petition the Court for 3 an order requiring Defendant Maher to pay the maximum civil penalty allowable 4 under the law. In connection with any such petition, the only issue shall be 5 whether the financial information provided by Defendant Maher was fraudulent, 6 misleading, inaccurate, or incomplete in any material respect as of the time such 7 representations were made. In any such petition, the Commission may move the 8 Court to consider all available remedies, including but not limited to ordering 9 Defendant Maher to pay funds or assets, directing the forfeiture of any assets, or 10 sanctions for contempt of the Court’s Final Judgment. The Commission may also 11 request additional discovery. Defendant Maher may not, by way of defense to 12 such petition: (1) challenge the validity of the Consent or this Final Judgment; (2) 13 contest the allegations in the Complaint filed by the Commission; (3) assert that 14 payment of a civil penalty should not be ordered; (4) contest the imposition of the 15 maximum civil penalty allowable under the law; or (5) assert any defense to 16 liability or remedy, including but not limited to any statute of limitations defense. 17 VIII. 18 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that the 19 Consent is incorporated herein with the same force and effect as if fully set forth 20 herein, and that Defendant Maher shall comply with all of the undertakings and 21 agreements set forth therein. 22 IX. 23 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that this 24 Court shall retain jurisdiction of this matter for the purposes of enforcing the terms 25 of this Final Judgment. 26 /// 27 /// 28 /// 5 1 2 X.
